Executive Summary
Following in the footsteps of Abbott Laboratories Inc. and others, including more recently Baxter Healthcare Corp., Emergent BioSolutions Inc. decided to spin off its biosciences business to create a new company via a tax-free distribution to Emergent shareholders. The transaction is expected to complete in mid-2016.
