Executive Summary
Thoratec Corp. has agreed to sell its International Technidyne Corp. division (point-of-care diagnostic devices) to Danaher Corp. (medical instrumentation) for $110mm in cash. Shareholders may also receive a $26mm earn-out (paid over a three-year-period) based on sales of ITC's alternate site business unit.
